Preamble

These Terms and Conditions (hereinafter: “Agreement” or “T& C”) constitute a legally binding contract between:

  • Vasyl Protsiuk, photographer and service provider (hereinafter: “Photographer”), operating across the European Union, primarily based in Berlin, Federal Republic of Germany;
  • any additional session organizers, including but not limited to Theo Jacques or other persons acting in a facilitation capacity (hereinafter individually and collectively: “Organizer”); and
  • the client booking or participating in a photography session (hereinafter: “Client” or “Participant”).


By submitting a booking form, making a payment, or otherwise confirming participation in a session, the Client acknowledges having read, understood, and agreed to these Terms and Conditions in their entirety.


This Agreement is governed by the law of the Federal Republic of Germany, in particular the Burgerliches Gesetzbuch (BGB), the Urheberrechtsgesetz (UrhG), and Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR), without prejudice to any mandatory consumer protection provisions applicable in the Client’s country of habitual residence pursuant to Regulation (EC) No 593/2008 (Rome I).


1. Parties, Scope, and Role of the Organizer

1.1 Photographer

The Photographer — Vasyl Protsiuk — is the sole service provider responsible for the execution, delivery, and quality of photography services. The Photographer bears sole responsibility for all contractual obligations relating to the photographic service, including image delivery, post-processing, and copyright matters.

1.2 Organizer

The Organizer (e.g., Theo Jacques or any other designated person) acts exclusively as a facilitator in the logistical coordination of sessions. The Organizer’s role is limited to:

  • scheduling and availability coordination;
  • general client communication relating to session logistics;
  • on-site assistance during sessions.


The Organizer does not:

  • provide the photography service;
  • process, receive, or handle any payments;
  • bear responsibility for image delivery, quality, or post-production;
  • act as data controller in respect of personal data processed for service delivery purposes.


Legal basis: The Organizer’s facilitation role does not create a contractual relationship between the Organizer and the Client with respect to the photographic service itself. All contractual rights and obligations lie exclusively with the Photographer.

1.3 Jurisdiction and Dispute Resolution

This Agreement is governed by the law of the Federal Republic of Germany. The courts of Berlin (Amtsgericht Berlin-Mitte / Landgericht Berlin) shall have exclusive jurisdiction for all disputes arising from or in connection with this Agreement, subject to mandatory provisions of applicable EU consumer law.



Pursuant to Regulation (EU) No 524/2013 on online dispute resolution, the European Commission provides an ODR platform accessible at: ec.europa.eu/consumers/odr. Clients who are consumers within the meaning of EU Directive 2011/83/EU may make use of this platform to resolve disputes online.



The Photographer is not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration body (Verbraucherschlichtungsstelle) unless required to do so by applicable law.



2. Booking, Payment, and Confirmation

2.1 Formation of Contract

A binding contract is formed upon the Photographer’s written confirmation (including confirmation by electronic means, such as email or messaging platform) of the booking and receipt of any applicable deposit. Submission of a booking form alone does not constitute a binding reservation.

2.2 Pricing and Currency

All prices are denominated in Euro (EUR). Value Added Tax (VAT), where applicable, is charged in accordance with Council Directive 2006/112/EC on the common system of VAT, applied at the rate applicable in the country where the service is physically provided. Invoices are issued by Vasyl Protsiuk.

2.3 Deposit and Final Payment

A deposit of 50% of the total session fee is required to confirm the booking, unless otherwise agreed in writing. The remaining balance is due no later than the day of the session, unless otherwise specified. The Organizer does not process or receive any payments. All payments are made directly to the Photographer.

2.4 Right of Withdrawal for Consumers (EU Directive 2011/83/EU)

Where the Client qualifies as a consumer under EU law and the contract is concluded online, the Client has the right to withdraw from the contract within 14 calendar days of conclusion, without stating reasons, in accordance with Article 9 of Directive 2011/83/EU.



However, by expressly requesting that the session be performed before the expiry of the 14-day withdrawal period, the Client acknowledges and agrees, pursuant to Article 16(a) of Directive 2011/83/EU, that the right of withdrawal is forfeited upon full performance of the service. This consent is confirmed by the Client upon submission of the booking form.



3. Cancellation and Rescheduling Policy

3.1 Cancellation by the Client

All bookings are binding upon confirmation. The following cancellation terms apply:

  • Cancellation 72–96 hours (3–4 days) before the scheduled session: a cancellation fee of 50% of the total session fee is due.
  • Cancellation less than 48 hours before the scheduled session (late cancellation): the full session fee (100%) is non-refundable. If a 50% deposit has been paid, it is fully forfeited.
  • Cancellation with no deposit paid, less than 72 hours before the session: a surcharge of 10% of the session fee will be applied to the Client’s next booking.

3.2 Rebooking after Late Cancellation

Where the Client wishes to rebook following a late cancellation, an additional administrative fee of 10% of the applicable session fee may be applied at the Photographer’s discretion.

3.3 Medical Exception

In cases of documented illness, the cancellation fee may be reduced or waived upon submission of a valid medical certificate (Krankenschein / doctor’s note). The certificate must be provided no later than the day of the originally scheduled session. The Photographer reserves the right to assess the validity of such documentation and to apply this exception at their sole discretion.

3.4 Rescheduling

Rescheduling requests are subject to the Photographer’s availability and must be submitted in writing as early as possible. Rescheduling is not guaranteed and is granted at the Photographer’s sole discretion. Where rescheduling is offered, previously paid deposits are transferable to the new session date unless otherwise agreed.

3.5 Cancellation by the Photographer or Organizer

The Photographer and/or Organizer reserve the right to cancel or reschedule a session due to unforeseen circumstances, including force majeure events (see Section 4) or operational necessity. In such cases:

  • all payments received will be fully refunded or, at the Client’s request, transferred to a rescheduled date;
  • no further compensation shall be owed by the Photographer or Organizer beyond the refund of payments made.


4. Force Majeure

Neither the Photographer nor the Organizer shall be liable for any failure or delay in performance of obligations under this Agreement where such failure or delay results from events beyond their reasonable control, including but not limited to:

  • natural disasters, including storms, floods, fires, earthquakes, or extreme weather conditions making performance impossible or dangerous;
  • epidemic or pandemic, and associated government-imposed restrictions, lockdowns, or gathering prohibitions;
  • acts of terrorism, war, armed conflict, or civil unrest;
  • governmental or regulatory actions, including travel bans, curfews, mandatory location closures, or public event prohibitions;
  • general strikes or industrial action affecting key infrastructure (transport, utilities, communication networks);
  • critical technical failures beyond reasonable control, including sustained power outages or network infrastructure failure;
  • sudden severe illness or medical emergency directly affecting the Photographer;
  • death or serious injury of a first-degree relative of the Photographer;
  • acts of God or extraordinary natural phenomena not foreseeable at the time of booking;
  • any other event that is unforeseeable, unavoidable, and objectively prevents performance of the service.


In the event of a force majeure occurrence, the Photographer shall notify the Client as soon as reasonably practicable. The parties shall in good faith seek to agree on rescheduling. If no rescheduled date can be agreed within a reasonable period, all payments made by the Client shall be fully refunded. No additional liability or compensation shall arise from force majeure cancellations.


5. Intellectual Property and Copyright

5.1 Ownership of Copyright

All photographs produced during a session are original creative works protected by copyright pursuant to Sections 2 and 72 of the German Urheberrechtsgesetz (UrhG) and Directive 2001/29/EC of the European Parliament and of the Council on the harmonisation of certain aspects of copyright and related rights in the information society. Copyright in all images vests exclusively and automatically in Vasyl Protsiuk upon the creation of each work, without any requirement for registration or formality.

5.2 Licence Granted to the Client

Upon full payment of the session fee, the Photographer grants the Client a non-exclusive, non-transferable, royalty-free licence to use the delivered images for personal purposes. The scope of this licence (personal use, extended personal use, or commercial use) is specified in the service package selected at the time of booking.



Unless expressly agreed otherwise in writing:

  • the Client is not permitted to sell, sublicense, or otherwise transfer the images to any third party;
  • the Client is not permitted to substantially alter, manipulate, or create derivative works that may harm the Photographer’s reputation or moral rights;
  • the Client shall not remove, alter, or obscure any copyright notices, watermarks, or metadata embedded in the images;
  • the Client shall not use the images in connection with defamatory, misleading, discriminatory, or otherwise unlawful content.

5.3 Photographer’s Right to Portfolio Use

The Photographer retains the unconditional right to use any images produced during a session for professional self-promotion and portfolio purposes. This includes display on the Photographer’s website, social media profiles (Instagram, Facebook, Behance, and equivalent platforms), printed portfolio, photography competitions, and exhibitions. This right is exercised subject to the personal data protection obligations set out in Section 6 of this Agreement and requires the Client’s valid consent where identifiable individuals appear in the images.

5.4 Commercial Use by the Photographer

Any commercial exploitation of session images by the Photographer beyond portfolio and self-promotional use — including but not limited to licensing to third parties, stock agencies, or brand campaigns — shall require a separate written commercial release agreement signed by the Client. No such commercial use shall be made without prior explicit written consent. This provision does not affect the Photographer’s portfolio rights as described in Section 5.3.

5.5 Third-Party Intellectual Property in Images

Photographs containing third-party copyrighted elements (including murals, sculptures, architectural designs, branded installations, or interior design elements) may be subject to independent intellectual property claims by the rights holders of such works. The Client assumes all responsibility for any commercial use of such images. This is consistent with the EU Copyright Directive (2001/29/EC) and Directive 2019/790/EU on copyright in the Digital Single Market.



6. Data Protection and Privacy (GDPR)

6.1 Data Controller

The Data Controller within the meaning of Article 4(7) of Regulation (EU) 2016/679 (General Data Protection Regulation, hereinafter: GDPR) is:

The Organizer (e.g., Theo Jacques) may receive limited personal data (name and contact information) for scheduling purposes only. The Organizer acts as a data recipient in this limited capacity and is not a joint data controller within the meaning of Article 26 GDPR with respect to the Photographer’s processing operations. Following transmission, the Organizer’s handling of personal data falls outside the Photographer’s data controllership and the Client is encouraged to seek clarification directly from the Organizer.

6.2 Categories of Personal Data and Legal Bases for Processing

The Photographer processes the following categories of personal data on the following legal bases under Article 6(1) GDPR:


a) Name and contact information (email address, telephone number)

  • Legal basis: Article 6(1) (b) GDPR — processing is necessary for the performance of the contract.
  • Purpose: client identification, booking confirmation, scheduling, and session communication.


b) Payment data (transaction reference, amount paid, payment method)

  • Legal basis: Article 6(1) (b) GDPR — performance of contract; Article 6(1)© GDPR — compliance with legal obligations under German commercial and tax law (Sections 238 et seq. HGB; Sections 140 et seq. AO).
  • Purpose: invoicing, payment verification, and statutory bookkeeping obligations. Payment records are retained for 10 years pursuant to Section 257 HGB.


c) Photographic images depicting the Client (personal data under Article 4(1) GDPR)

  • Legal basis (service delivery): Article 6(1) (b) GDPR — processing necessary for the performance of the photography service contract.
  • Legal basis (portfolio and promotional use): Article 6(1) (a) GDPR — explicit, freely given, specific, informed, and unambiguous consent of the Client, provided via the booking form.
  • Purpose (performance): creation, post-processing, and delivery of session images to the Client.
  • Purpose (consent-based): use of images on the Photographer’s website, social media, and promotional materials as specified in the Model Release provisions below.

6.3 Model Release and Consent for Publication

The publication of photographs depicting identifiable individuals for promotional, portfolio, or marketing purposes constitutes processing of personal data and requires separate, explicit, and revocable consent under Article 6(1) (a) and Article 7 GDPR, and in accordance with Sections 22–23 of the German Kunsturhebergesetz (KUG).



By submitting the booking form and confirming the relevant consent field, the Client:

  • grants permission to Vasyl Protsiuk and, where applicable, to the Organizer (Theo Jacques or other named organizers) to photograph and video record the Client during the session;
  • consents to the use of such images and footage in marketing materials, social media publications, website portfolios, and promotional content relating to future sessions and events;
  • acknowledges that no financial compensation is payable for such promotional use;
  • waives the right to inspect or approve the specific selection or editing of images used for promotional purposes, unless separately agreed in writing.


The Client retains the right to withdraw this consent at any time, without detriment, by submitting a written request to the Photographer’s contact email. Withdrawal of consent does not affect the lawfulness of processing carried out prior to its withdrawal (Article 7(3) GDPR). The Photographer shall remove relevant images from active promotional use within a reasonable period following receipt of a valid withdrawal request.

6.4 Data Retention

  • Client contact information and booking records: retained for the duration of the contractual relationship and up to 3 years thereafter, in accordance with standard limitation periods under German civil law (Section 195 BGB).
  • Payment data and invoices: retained for 10 years in compliance with Sections 257 HGB and 147 AO.
  • Session images (archive copy): retained for up to 3 years following delivery to the Client, unless a longer retention period is expressly agreed.
  • Consent records: retained for the duration of consent-based processing and for 3 years thereafter, to demonstrate compliance with Article 7 GDPR.

6.5 Third-Party Processors and International Data Transfers

The Photographer may use third-party service providers (data processors) for image storage and delivery, including cloud-based platforms such as Google Drive, Dropbox, Pixieset, or equivalent services. Where such processors are located outside the European Economic Area, data transfers are conducted on the basis of appropriate safeguards under Chapter V GDPR, including Standard Contractual Clauses adopted by the European Commission pursuant to Article 46(2)© GDPR.

6.6 Rights of Data Subjects

In accordance with Chapter III of the GDPR, the Client has the following rights:

  • Right of access (Article 15 GDPR): to obtain confirmation of whether personal data is being processed and to access such data.
  • Right to rectification (Article 16 GDPR): to obtain correction of inaccurate personal data.
  • Right to erasure (Article 17 GDPR): to request deletion of personal data where processing is no longer necessary or consent has been withdrawn.
  • Right to restriction of processing (Article 18 GDPR): to request that processing be restricted in certain circumstances.
  • Right to data portability (Article 20 GDPR): to receive personal data in a structured, commonly used, and machine-readable format.
  • Right to object (Article 21 GDPR): to object to processing based on legitimate interests.


Requests to exercise any of the above rights should be submitted in writing to the Photographer’s contact email. The Photographer will respond within 30 calendar days in accordance with Article 12(3) GDPR.


The Client also has the right to lodge a complaint with a supervisory authority. The competent authority is: Berliner Beauftragte fur Datenschutz und Informationsfreiheit (BlnBDI), Friedrichstr. 219, 10969 Berlin, Germany — www.datenschutz-berlin.de.


7. Rights of Third Parties

7.1 Third Parties Appearing in Session Images

Where third parties (persons other than the Client) appear in session images, it is the Client’s sole responsibility to obtain any necessary consent or release from such individuals prior to or during the session. The Photographer accepts no liability for claims brought by third parties in respect of their appearance in images delivered to the Client.

7.2 Location Permits

Certain public spaces, landmarks, and private properties in Berlin, Prague, and other European cities may require official photography permits for commercial sessions. The responsibility for identifying and obtaining any required permits rests with the Client or Organizer, unless otherwise expressly agreed in writing. The Photographer assumes no liability for sessions interrupted or cancelled due to the absence of required permits.



8. Limitation of Liability

To the fullest extent permitted by applicable law, the Photographer’s aggregate liability to the Client in connection with any session shall not exceed the total session fee paid by the Client for that session.



The Photographer shall not be liable for:

  • loss of images due to technical equipment malfunction, media corruption, or unforeseen technical failures, except in cases of gross negligence or wilful misconduct;
  • aesthetic dissatisfaction with photographs resulting from subjective preference, unless specific requirements were expressly agreed in writing prior to the session;
  • outcomes dependent on weather conditions, location availability, or the conduct of the Client or third parties during the session;
  • any indirect, consequential, or incidental loss arising from or in connection with this Agreement.


This limitation does not apply in cases of death, personal injury, or losses that cannot be excluded under mandatory German law or applicable EU consumer protection provisions (including Directive 1999/44/EC as amended by Directive 2019/771/EU).


9. General Provisions

9.1 Language of the Agreement

This Agreement is provided in English. Translations into other languages may be provided for convenience only and shall have no legal effect. In the event of any discrepancy, the English-language version shall prevail.

9.2 Amendments

Any amendments to this Agreement must be made in writing (including by electronic means with confirmed acceptance by both parties). No oral variations shall have legal effect.

9.3 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced, to the extent possible, by a valid provision that most closely reflects the original intent.

9.4 Entire Agreement

This Agreement, together with the booking confirmation, any applicable Model Release Form, and the issued invoice, constitutes the entire agreement between the parties and supersedes all prior oral or written representations, understandings, or agreements relating to the subject matter hereof.

9.5 Cookies and Website

The Photographer’s website may use cookies and similar tracking technologies. Their use is governed by a separate Cookie Policy published on the website, in compliance with Directive 2002/58/EC (ePrivacy Directive) as interpreted by the Court of Justice of the European Union in Case C-673/17 (Planet49, 2019).



10. Agreement Confirmation

By submitting a booking form, making a payment, or otherwise confirming participation in a session organised by Vasyl Protsiuk, the Client confirms that they have:

  • read and fully understood these Terms and Conditions;
  • agreed to be bound by this Agreement in its entirety;
  • provided any required consents (including in respect of photography and data processing) freely, specifically, and unambiguously;
  • understood that this Agreement constitutes a legally binding contract under German and EU law.


Thank you for respecting the time, preparation, and creative effort that goes into every session.
